Terms of Service

Effective Date: May 2026

These Terms of Service govern access to and use of the Loadster mobile application, website, software, technology, payment tools, communication tools, and related services. By accessing or using Loadster, you agree to these Terms and all incorporated policies.

1. Definitions

"Loadster" means Loadster LLC. "Platform" means Loadster's app, website, software, payment tools, communications systems, and related services. "User" means any person or entity using the Platform. "Customer" means a User requesting transportation services. "Driver" means a User offering transportation services. "Cargo" means any item, property, goods, equipment, materials, freight, vehicle, or property associated with a Job.

2. Platform Status

Loadster is a technology platform. Loadster is not a motor carrier, freight carrier, moving company, trucking company, transportation provider, logistics provider, freight forwarder, warehouse operator, common carrier, or employer of Drivers.

Loadster does not transport cargo, does not take possession of cargo, does not control transportation services, and is not a party to transportation agreements between Customers and Drivers.

3. Eligibility

Users must be at least eighteen (18) years old, have legal authority to enter contracts, provide truthful information, maintain accurate account information, and comply with applicable laws.

4. Incorporated Policies

These Terms incorporate the Driver Agreement, Customer Agreement, Privacy Policy, Payment Policy, Claims & Cargo Damage Policy, Prohibited Items & Illegal Activity Policy, Community Standards, and any additional Loadster policies. Violation of any incorporated policy is a violation of these Terms.

5. User Responsibilities

Users agree to act in good faith, provide accurate information, comply with all laws, cooperate with investigations, protect account credentials, and avoid fraud, deception, abuse, harassment, unlawful conduct, or conduct that presents risk to Loadster, users, or the public.

6. Prohibited Activity

Users may not use Loadster for unlawful activity, including human trafficking, child trafficking, child exploitation, sexual exploitation of minors, forced labor, drug trafficking, money laundering, stolen property, counterfeit goods, fraud, theft, smuggling, terrorism-related activity, or criminal enterprises.

7. Investigations and Enforcement

Loadster may investigate any User, account, transaction, Job, Bid, payment, claim, communication, photograph, video, document, cargo description, or activity. Loadster may request documents, verify identity, preserve evidence, delay payments, hold payouts, restrict account access, remove content, suspend accounts, terminate accounts, and cooperate with law enforcement.

8. Payments

Payments are subject to the Payment, Refund, Cancellation, and Chargeback Policy. Loadster may collect fees, hold funds, delay payouts, investigate transactions, reverse payments where permitted, and take actions necessary to protect the Platform.

9. Assumption of Risk

Users acknowledge that transportation, delivery, hauling, moving, and logistics activities involve risks, including accidents, cargo damage, cargo loss, theft, delays, weather, mechanical failure, personal injury, property damage, and criminal conduct by third parties.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available." Loadster disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. Loadster does not guarantee platform availability, driver availability, customer availability, successful delivery, earnings, or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, Loadster shall not be liable for cargo loss, cargo damage, cargo theft, property damage, personal injury, lost profits, lost business opportunities, indirect damages, incidental damages, consequential damages, special damages, exemplary damages, or punitive damages. Loadster's total liability shall not exceed the greater of platform fees received by Loadster for the transaction or $100.

12. Indemnification

Users agree to defend, indemnify, and hold harmless Loadster from claims, losses, damages, liabilities, penalties, costs, judgments, and attorneys' fees arising from user conduct, transportation services, cargo, violations of law, policy violations, or third-party claims.

13. Arbitration and Class Action Waiver

Disputes shall be resolved through binding individual arbitration to the fullest extent permitted by law. Users waive the right to participate in class actions, collective actions, representative actions, and class arbitrations.

14. Account Termination

Loadster may suspend, restrict, investigate, terminate, or permanently ban any User, account, transaction, device, payment method, vehicle, business entity, or activity for safety, legal, fraud-prevention, compliance, reputational, operational, or business reasons.

15. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
